Thank you for trusting in EDICUT, welcome to our platform! In order to allow you to use our services in the best possible way, we strongly request that you familiarize yourself with these General Conditions of Use (hereinafter referred to as "GCU").

EDICUT hosted on the website ​www.edicutmedia.com (hereinafter the “Site”), is a platform developed and managed by Edicut Media Group, S.A. de C.V., in which various services and products are promoted, mainly in terms of content development and editing related to the video, cinematography, television and other media industries and platforms of various technologies, which offer audiovisual content (hereinafter referred to as «Services») developed and promoted by a group of professionals and passionate about these disciplines who, through EDICUT, have joined forces to reach more people and entities interested in receiving the Services and products offered by EDICUT, bearing in mind that some of the Services are made available on the Site for purchase by customers who visit the Site (hereinafter "Customers").

The Internet Site uses cookies, web beacons or other technologies, through which it is possible to monitor your behavior as an Internet user, in order to provide you with a better service and experience when browsing the Site.


The personal data that, where appropriate, we can obtain from these tracking technologies consist of: identifiers of the region in which the user is located, type of browser and operating system used, date and time of start and end of the user's session; information that, where appropriate, could be used to identify you, to save your personal browsing preferences on our Site to provide you with a better browsing experience and for statistical purposes of EDICUT.

1- PURPOSE OF THE GCU

The purpose of the GCU is to determine the rules that govern the use of the Site as well as the obligations incumbent on EDICUT and the conditions under which EDICUT makes its Services available to Clients.

The Client undertakes, by the simple fact of accessing the Site and each visit to it, to comply with these GCU applicable to all Services and content available on the Site.

Therefore, the Customer fully accepts these GCU in its entirety before any use of the Site and its Services.


The mere use of the Site automatically implies the express acceptance of these GCU by the Client.


2- OPPOSABILITY OF THE GCU

EDICUT reserves the right to modify, at any time, the GCU in order to adapt and comply with any legal change, in terms of privacy, technical and in general of any nature that is required for the proper functioning of the Site and so that the same is always in compliance and observance of the laws and regulations that are applicable in Mexico, where EDICUT is domiciled and from where the Site is operated.


The version of the GCU that prevails is the one that is accessible and downloadable online on the Site on the day of its use by the Client and that is available at www.edicutmedia.com


Any use of the Site made by the Client after the publication of the modified GCU constitutes the acceptance by the Client of said GCU.

3- DESCRIPTION OF THE SERVICES

The Site offers Clients a platform for the acquisition and/or contracting and/or reservation of the Services offered there, also in some cases the Site and its tools can be used to make payments; organize the provision and delivery of the Services and, where appropriate, of some products and to manage the after-sales service and sometimes technical support or online advice.


In general, the Services that EDICUT will provide through the Site, can be contracted by the Client: (i) in a single operation or in several operations isolated and separated from each other (an "Individual Project"), each one involving a commercial transaction between the Client and EDICUT; or (ii) through the contracting by the Client of a recurring subscription (“Subscription”), which implies the payment of a monthly fee or for a different term agreed upon at the time of contracting the Subscription and which gives the client access continued to the EDICUT Services during each period in which the Subscription is valid, in the manner agreed between the Client and EDICUT at the time of contracting the type of Subscription chosen by the CLIENT.

In the first of the cases, EDICUT will provide the Client with its Services for the editing and/or development of audiovisual material with respect to a single Individual Project that involves the creation or editing of a particular audiovisual work and the cost of said Individual Project will be that published in the Site at the time of payment thereof, or it will be determined between the Client and EDICUT at the time of contracting the Service.

In the second case, when the Client acquires a Subscription, the price and type of Subscription will be published on the Site and in such case EDICUT will provide the Client with its editing and/or audiovisual development Services, continuously in several complementary or successive projects, always within a period of time determined at the time of contracting the Subscription, which, in order to be continued, will require the Client to continue paying the price of his Subscription; In this second scenario, the Services contracted by the Client, once edited by EDICUT, are released and made available to the Client in various deliveries during each period in which a Subscription is valid.


Your Subscription and any add-ons will automatically renew at the end of the applicable term. The editor connection works on one video at a time. Delivery times are not guaranteed, but Customers usually obtain the first edition requested within 72 business hours of its request on the Site (Monday through Friday).


All Subscriptions may be canceled at any time prior to the end of the then current Subscription period. To cancel a Subscription, the Client must send an email to that effect to contact@edicutmedia.com. After the cancellation of your Subscription, you will continue to have access to EDICUT services and your files until the end of your paid billing period. Access to your account files requires an active Subscription. Canceled accounts will not have access to their files after their billing term ends.


EDICUT is designed for the reasonable use of a single individual or company, therefore the Services provided by EDICUT are not intended to replace a full-time video editor, when required by the creative needs of the Client. Any violation by the Client of these TOU or if it is detected that it is not aligned with our model, shares accounts/logins, violates our company policies or is abusing our Services or equipment in any way, including the use of our Services for illegal materials, we reserve the right to terminate your account without notice.


Purchases made through the Site represent a valid and binding commercial transaction, subject to applicable laws in Mexico, regardless of where the Client is located, said transactions are directly between the Client and Edicut Media Group, S.A. of C.V.


EDICUT does not act as an intermediary, guaranteeing that the Services are offered and provided directly by EDICUT and the description of the Services on the Site is truthful and faithfully reflects their characteristics, however for greater abundance in the description and scope of the same, we suggest all Clients contact us directly at the email provided above.

4- ACCESS TO SERVICES

The use of the Site and its services implies the acceptance of these GCU and requires the creation of a Client account, when the Client contracts a Subscription or in the case of contracting Services for Individual Project, when the Client so decides and for save time in filling out the necessary forms for the contracting of said Services, in all cases it will be necessary for the Client, at least on the date of first use of the Site and for the acquisition of any Service, to complete the contact information, billing , payments and shipments to conclude the purchase processes of Services and/or products.

The Client must provide the exact data that allows their identification, among which are:

Telephone
Billing Data


In the case of Subscriptions and payment of Services by Individual Project, payment information will also be required, such as the credit or debit card of the Client or his authorized representative.


By the simple fact of using the Site and even more so by making a purchase on it, either by Individual Project or through a Subscription, the Client declares that he is of legal age under the applicable criteria in the jurisdiction from which makes use of the Site and that is the owner of the means of payment used for the settlement of the contracted Services.

5- OBLIGATIONS RELATED TO THE SERVICES

EDICUT guarantees that it has all the rights and authorizations necessary to provide the Services offered on the Site, including the fact that EDICUT is the owner or has the authorization of the owners of any and all copyright or property rights industrial that are related to the Services or that are part of them.


EDICUT undertakes to offer the Services available for sale on the Site, including the characteristics and specifications of each Service, whether in the form of Subscription or for Individual Projects, the terms and conditions of contracting, prices, payment method, delivery and general provisions, also undertakes to indicate as soon as possible on the Site itself any Service or product that is no longer available, either temporarily or permanently.


The descriptive sheet provided by EDICUT on the Site regarding each of the available Services or products includes reviews of the operation and scope of the Services, a brief description of the same and information regarding the type of Service, its usefulness and its nature, in Sometimes the Services may be illustrated on the Site with photographs and/or audiovisual aids. In the particular case of Subscriptions, EDICUT will provide a detailed description of each type of Subscription available, their scope and their particular conditions on the Site.


EDICUT guarantees that the Services, at the time of their provision to Clients, do not infringe in any way the laws, regulations and rules in force in relation to the type of Service contracted, nor do they infringe the rights of third parties.


As such, EDICUT undertakes not to promote any illegal Service, which directly or indirectly infringes the rights of third parties or the applicable laws, it also undertakes not to promote works or Services that violate the copyright and industrial property rights of third parties. , for which it guarantees the Client to remove it in peace and safe from any claim that could be initiated against him by a third party on the basis that the Services contracted by the Client infringe the law or the rights of said third parties.


EDICUT will deliver to the Client a material support either in writing or in some electronic medium containing the scope and characteristics of the contracted Services, said material support may consist of photographic works or audio, video or a combination of any of these elements.


EDICUT sets the price of the Services available on the Site in Mexican pesos and unless otherwise indicated on the Site or microsite referring to a particular Service, the indicated prices do not include the Value Added Tax "VAT" nor, where applicable, shipping costs (in the case of products). Likewise, import or consumption taxes or taxes on services that may be required in the country of destination to which the Services are exported outside of Mexico will be borne by the Client.


EDICUT guarantees the veracity of the information that it makes available to Clients and the general public on the Site and declares the non-misleading nature of the illustrations, videograms and audios in relation to the Services and in general in relation to EDICUT, therefore that undertakes not to mislead potential Clients, both in terms of the characteristics and the scope of the products and Services offered on the Site. Due to the foregoing, EDICUT asks Clients that if they have any questions regarding the Site and the Services and products described therein, they contact us through the email indicated for this purpose in these GCU.

6- SALE PRICES AND PAYMENT CONDITIONS

The sale price of any of the Services available for purchase by Clients on the Site is the price set by EDICUT for the general public and, as already indicated, does not include VAT or any other tax that may be applicable in Mexico or in the final country of destination of said Services or products, in general and unless otherwise indicated on the Site, does not include shipping costs.


When so determined by EDICUT, different promotions will be offered on the Site that may include discounts and savings on certain Services and/or products, free shipping and other incentives in favor of Customers, these promotions may be activated or deactivated at the discretion of EDICUT and their validity and terms and conditions will be determined directly by EDICUT, therefore they will only be binding and obligatory for EDICUT when the Client acquires the Services and/or products within the validity of the promotions and provided that the applicable terms and conditions are met, which will be published on the Site.


If EDICUT so determines, it may make available to Clients on the Site, different platforms and forms of payment and billing, such as charge to credit or debit card, PayPal, Zelle, deposits to EDICUT bank accounts or payments and deposits to through payment platforms in convenience stores. With respect to PayPal and Zelle or any other payment platform in convenience stores or that may be incorporated in the future on the Site, the Customer expressly acknowledges that the use of said payment platforms will be under his sole responsibility, so that by accepting of these GCU releases EDICUT from any legal obligation or responsibility, being applicable between the Client and the payment platform that it may use, the terms and conditions in force in said platforms, which are and will be alien to EDICUT at all times.


The Client accepts these GCU and our terms for the provision of Services, for purposes of settlement of the same by clicking on the checkbox in our payment process (action that is required to complete the form). You agree that you have reviewed and understand the content of our Site, which describes the details and scope of our services.


Your credit/debit card information that you provide to us will be encrypted using secure socket layer technology (SSL) and stored with AES-256 encryption. Although no method of transmission over the Internet or electronic storage is 100% secure, we follow all PCI-DSS requirements and implement generally accepted industry standards.

7- DELIVERY OF SERVICES/PRODUCTS

In the event that you acquire any physical product offered on the Site, EDICUT will be in charge of preparing it for shipment, taking the necessary measures to ensure its integrity until its delivery to the Client at the address designated by him or at the point of delivery specified between EDICUT and the Client. EDICUT will be responsible for the shipment and will comply with the obligations incumbent on it in terms of quality and specifications of the product purchased by the Client, as well as in terms of delivery times and means of shipment.


Notwithstanding the foregoing, EDICUT will not be responsible for damage, destruction or loss of products in those cases attributable to the parcel company contracted for delivery.


With regard to the delivery and/or provision of any Service acquired by the Client on the Site, the terms of delivery and/or provision of said Service will be conditioned to the nature and type of Service to be provided, taking into account that On some occasions, a contracted Service consists of various stages, test phases and quality review, reception of photographic materials, video, audio and other elements necessary to carry out its edition or, where appropriate, for the creation of a work commissioned by a Client. had requested EDICUT as part of the contracted Services.


Based on the foregoing, the terms of delivery and/or provision of any of the Services available on the Site will be subject to the agreement that the Client and EDICUT agree upon directly at the time of contracting or during the development of the Service to be provided, However, in general, all or most of the Services will be delivered or made available to Clients by electronic means, either through access and the possibility of downloading by the Client on the Site or through other means such as sending it by email, text message, etc.

8- NON-REFUND POLICIES

The Client acknowledges that the products purchased on the Site may not be returned for any reason nor will the price paid be subject to reimbursement.


For Services that are purchased and paid for by the Client directly on the Site, the applicable terms and conditions will be those agreed for the specific Service in question with EDICUT at the time of contracting.


Amounts paid for Services are non-refundable and no credits are given for any period of a Subscription paid for by Customer and partially used. The Client also accepts that by registering to receive the Services through the Site, they authorize EDICUT to charge their payment method (credit card, debit card, etc.) for the rate applicable to each type of Subscription in each contracting period. of such Subscription and according to your billing frequency (for example, monthly, quarterly, yearly). Any account of any Client and access to the Services provided through the Site may be suspended by EDICUT in the event of non-payment of the applicable fees. You represent and warrant to EDICUT that the payment information you provide through the Site is accurate and that you are authorized to use the payment method. You will promptly update your account information with any changes (for example, a change in your billing address or credit card expiration date) that may occur. EDICUT may change its rates from time to time by posting the changes on the Site with 5 (five) calendar days' notice, but prior notice is not required for temporary promotions or rate reductions.

9- INTELLECTUAL PROPERTY

EDICUT guarantees the Client that it is the owner or that the rights related to the Services and products that it markets through the Site have been legally licensed to it, and therefore it has the free disposal of such rights. For its part, the Client undertakes that all the audiovisual material that it provides to EDICUT so that it can provide the Services, is the property of the Client or, alternatively, the owner of said material has authorized the Client to use it unrestrictedly, a situation that if required by EDICUT, it must be reliably demonstrated by the Client prior to the provision of the Services.


In the event that the Client provides EDICUT, for its use in the provision of its editing Services, graphic, audiovisual material or of any other nature that is subject to protection in terms of copyright or industrial property and with respect to of which does not have ownership or a right of use legally conferred in favor of the Client, the latter will be responsible to EDICUT for any claim that the owner of said rights may present, in addition to the fact that from the moment any claim of a potential holder of the rights of the material used by EDICUT and provided by the Client, EDICUT without any responsibility may suspend the use of said material and the provision of the Services.


EDICUT is the exclusive owner of all intellectual property rights related to the development of the Site and its contents, unless expressly stated otherwise.


The Site, the brands, designs, images, texts, photos, logos, as well as programs, search engines, databases, domain names and any other content available on the Site, will be the exclusive property of EDICUT and will be protected by the provisions in force regarding copyright, trademarks and any other intellectual or industrial property right.

10- OBLIGATIONS OF EDICUT

EDICUT undertakes to provide quality Service to Clients. In this regard, any Customer will have the opportunity to report a claim relating to any Service or product purchased on the Site.


In the event of a claim by the Client regarding any product or Service, EDICUT will make its best effort to resolve it in the shortest time possible, provided that the reason for the claim is attributable to EDICUT.

11- ENTIRE AGREEMENT

These GCU constitute the totality of the terms and conditions agreed between EDICUT and the Client and replace any previous written or oral agreement related to the object of these GCU.

Any additional or different term or condition related to the object of the GCU contained in any written or oral communication addressed to EDICUT will be null and inapplicable.

12- SEVERABILITY

In the event that, regardless of the cause or manner, any of the provisions contained in these GCUs are considered null or unenforceable, such nullity or inapplicability will not affect the validity and applicability of the remaining provisions of these GCUs. The provision in question will be enforced to the fullest extent permitted by law.

13- FORCE MAJEURE

Initially, cases of force majeure will suspend the execution of these GCU.


In case of force majeure lasting more than two months, these GTU will be automatically canceled, unless the parties agree otherwise.


Expressly, force majeure or fortuitous cases will be considered, those that are usually contemplated by Mexican legislation and its courts.

14- APPLICABLE LEGISLATION

These GCU will be governed by Mexican law.

15- COMPETENT JURISDICTION

In the event of a claim by one or more parties, they will undertake to jointly seek an amicable solution before initiating any legal action or litigation.

In case of absence of the amicable agreement referred to above, the parties may submit any claim to the jurisdiction of the competent courts, in the First Judicial District of the State of Jalisco, with residence in Zapopan, Jalisco, Mexico, renouncing from this moment and expressly to any other jurisdiction that may correspond to them by reason of their present or future domicile or for any other reason.
